15 U.S.C. § 80b–7 — Material misstatements

This section bans lying in filings made under this law. It covers applications and reports filed under sections 80b–3 and 80b–4. No one may knowingly falsify facts or omit required facts in them.
It is illegal for anyone to willfully make an untrue statement of a material fact in a registration application or report filed with the SEC under section 80b–3 or 80b–4. It is also illegal to willfully leave out a material fact that such an application or report is required to state.
It shall be unlawful for any person willfully to make any untrue statement of a material fact in any registration application or report filed with the Commission under section 80b–3 or 80b–4 of this title, or willfully to omit to state in any such application or report any material fact which is required to be stated therein.
