Unless this subchapter says otherwise, courts apply law and equity principles to actions under it, including rules about agency, fraud, mistake, insolvency, and other causes that validate or invalidate conduct.
Except as this subchapter provides otherwise, actions and proceedings under it are governed by principles of law and equity. These include the law merchant; rules about principals and agents, estoppel, laches, fraud, misrepresentation, duress, coercion, mistake, and insolvency; and other causes that validate or invalidate conduct.
Except as provided in this subchapter, the principles of law and equity, including the law merchant and the law relating to principal and agent, estoppel, laches, fraud, misrepresentation, duress, coercion, mistake, insolvency, or other validating or invalidating cause shall apply to actions and proceedings under this subchapter.
