The corporation may adopt governing documents, use a seal, choose personnel, make contracts, own and finance property, borrow money, sue, be sued, and take other necessary actions.
The corporation may (1) adopt and amend a constitution and bylaws to manage its property and affairs; (2) adopt and change a corporate seal; (3) choose officers, managers, agents, and employees as needed; (4) make contracts; (5) acquire, own, lease, encumber, and transfer property needed or convenient for its purposes; (6) borrow money, issue debt instruments, and secure its obligations with interests in its property; (7) sue and be sued; and (8) take any other necessary and proper action to carry out its purposes.
The corporation may—
adopt and amend a constitution and bylaws for the management of its property and the regulation of its affairs;
adopt and alter a corporate seal;
choose officers, managers, agents, and employees as the activities of the corporation require;
make contracts;
acquire, own, lease, encumber, and transfer property as necessary or convenient to carry out the purposes of the corporation;
borrow money, issue instruments of indebtedness, and secure its obligations by granting security interests in its property;
sue and be sued; and
do any other act necessary and proper to carry out the purposes of the corporation.
