The U.S. Capitol Historical Society can't issue stock or pay dividends. Its income can't benefit trustees, officers, or members, though reasonable pay is allowed. It can't loan money to trustees, officers, or employees, and those who approve such a loan are personally liable to repay it.
(a) Stock and Dividends.— The corporation cannot issue stock or declare or pay a dividend.
(b) Distribution of Income or Assets.— The corporation's income or assets cannot benefit, or be given to, a trustee, officer, or member while the corporation exists or when it dissolves or winds up. This does not stop the corporation from paying reasonable compensation to an officer or employee, or reimbursing actual expenses, in amounts the board of trustees approves.
(c) Loans.— The corporation cannot make a loan or advance to a trustee, officer, or employee. Trustees who vote for or agree to such a loan or advance, and officers who help make it, are jointly and individually liable to the corporation for the amount until it is repaid.
The corporation may not issue stock or declare or pay a dividend.
The income or assets of the corporation may not inure to the benefit of, or be distributed to, a trustee, officer, or member as such during the life of the corporation or on its dissolution or final liquidation. This subsection does not prevent the payment of reasonable compensation to an officer or employee or reimbursement for actual expenses in amounts approved by the board of trustees.
The corporation may not make a loan or advance to a trustee, officer, or employee. Trustees who vote for or assent to making a loan or advance to a trustee, officer, or employee, and officers who participate in making the loan or advance, are jointly and severally liable to the corporation for the amount of the loan or advance until it is repaid.
