To use any power this chapter grants, the corporation must file the name and address of a legal agent in every State. That agent can receive legal papers or demands against the corporation.
Before the corporation can exercise any power or privilege this chapter gives it, it must file something in every State. Specifically, it must give the secretary of state, or another official the State designates, the name and address of an agent located in that State. That agent is the person legal papers or demands against the corporation can be served on.
As a condition to the exercise of any power or privilege granted by this chapter, the corporation shall file, with the secretary of state or other designated official of each State, the name and address of an agent in that State on whom legal process or demands against the corporation may be served.
