10 U.S.C. § 178 — The Henry M. Jackson Foundation for the Advancement of Military Medicine

(a) The law authorizes creating a nonprofit corporation called the Henry M. Jackson Foundation for the Advancement of Military Medicine (called "the Foundation" in this section). The Foundation is not a U.S. government agency or arm. It follows the rules in this section, and otherwise follows Maryland's laws on corporations and associations. (b) The Foundation's purposes are: (1) to carry out medical research and education projects together with the Uniformed Services University of the Health Sciences; (2) to be a meeting point between military and civilian medical staff; and (3) to encourage doctors, dentists, nurses, veterinarians, and other biomedical scientists to take part in the Foundation's work, for the benefit of both military and civilian medicine. (c) (1) The Foundation has a Council of Directors ("the Council") made up of: (A) the chairs and ranking minority members of the Senate and House Armed Services Committees (or their designees), who serve automatically; (B) the Dean of the Uniformed Services University of the Health Sciences, who also serves automatically; and (C) six more members. Each of these six is appointed, when their predecessor's term ends, by the Council members currently serving under (C) and this paragraph — including the outgoing member. (2) Each member appointed under (C) serves a four-year term, except that someone filling a vacancy left before a term ended only serves out the rest of that term. (3) The Council elects its own chairman from among its members. (d) (1) The Foundation has an Executive Director, appointed by the Council and serving at the Council's pleasure. The Executive Director runs the Foundation's day-to-day operations and has whatever other duties the Council assigns. (2) The Council sets the Executive Director's pay. (e) The Council's first members act as the Foundation's incorporators and take whatever steps are needed to legally establish the corporation under Maryland law, as authorized in (a). (f) If a seat on the Council becomes vacant, that doesn't stop the Council from using its powers. The vacancy is filled the same way the original appointment or designation was made. (g) To carry out this section's purposes, the Foundation may: (1) sign contracts with, accept grants from, and give grants to the Uniformed Services University for joint work in medical research, consultation, and education, including contracts for the staff and services those projects need; (2) contract with public and private organizations to write, edit, print, and publish books and other materials; (3) take steps to get patents and licenses for devices and procedures the Foundation and its employees develop; (4) accept, hold, manage, invest, and spend gifts, devises, or bequests of property given to the Foundation; (5) contract with individuals, organizations, professional societies, and government agencies to carry out the Foundation's work; (6) enter into other contracts, leases, cooperative agreements, and transactions the Executive Director thinks are appropriate for the Foundation's activities; and (7) charge fees for professional services the Foundation provides, in amounts the Executive Director decides are reasonable. (h) Someone who works for the Foundation, full-time or part-time, cannot also be a full-time or part-time federal government employee. (i) The Council must send the President a report each year — and at other times the Council thinks are useful — on the Foundation's operations, activities, and accomplishments.
