The corporation only has the powers given to it by its own articles of incorporation, constitution, and bylaws. Those documents must follow the laws of the place where the corporation is incorporated.
The corporation's powers come only from three of its own governing documents: its articles of incorporation, its constitution, and its bylaws. It has no powers beyond what those documents grant. Those documents themselves must conform to the laws of whatever jurisdiction the corporation is incorporated in.
The corporation shall have only those powers granted the corporation through its articles of incorporation, constitution, and bylaws, which shall conform to the laws of the jurisdiction under which the corporation is incorporated.
