A board of directors, with at least 10 members, governs the corporation and is elected by member groups. The board picks an executive committee of its own members plus the officers to act when the board isn't meeting. The executive committee also hires an executive director and approves other staff.
(a) General. The board of directors governs the corporation and exercises the powers given to it.
(b) Number and Election. The bylaws set the number of directors and how long they serve, but the board must have at least 10 members, counting ex officio members. Directors are elected from among the officers and members of the member agencies and organizations that take part in the annual national conference on citizenship, by a majority vote of the agencies and organizations that send delegates to, and take part in, the conference.
(c) Meetings. The board holds an annual meeting at the time and place set in the bylaws, and it presents its annual report there. The bylaws also set how special meetings can be called.
(d) Executive Committee. The board picks 3 of its own members. Those 3, plus the president and the 3 vice presidents, make up the executive committee. When the board is not meeting, the executive committee has the board's powers, but only as the board directs. The executive committee may also authorize the corporate seal to be put on any papers that need it.
(e) Executive Director and Professional Staff. The executive committee selects an executive director, and the committee decides that person's qualifications and terms of employment. The executive director nominates other professional staff members, but the executive committee must approve them.
The board of directors is the governing body of the corporation. The board shall exercise the powers granted to the corporation.
The number of directors and their term of office are as provided in the bylaws, except that the board shall have at least 10 members (including ex officio members). The directors are elected from among the officers and members of the member agencies and organizations participating in the annual national conference on citizenship, by a majority vote of the agencies and organizations sending delegates to, and participating in, the conference.
The board shall hold an annual meeting at a time and place as may be provided in the bylaws. The annual report of the board shall be presented at the annual meeting. Special meetings of the board may be called as provided in the bylaws.
The board shall designate 3 of its own members, who together with the president and the 3 vice presidents constitute the executive committee. When the board is not in session, the executive committee has the powers of the board subject to the board’s direction and may authorize the seal of the corporation to be affixed to all papers that require it.
The executive committee shall select an executive director for the corporation, who shall have the qualifications and terms of employment decided by the committee. The executive director shall nominate other professional staff members, who must be approved by the executive committee.
