Subject to section 150406, the corporation’s constitution and bylaws provide for its board and responsibilities, consistent with the law governing its incorporation.
Subject to section 150406, the corporation’s constitution and bylaws provide for the board of directors and its responsibilities. They must conform to the laws under which the corporation is incorporated.
Subject to section 150406, the board of directors of the corporation, and the responsibilities of the board, shall be as provided in the constitution and bylaws of the corporation and in conformity with the laws under which the corporation is incorporated.
