The corporation’s articles of incorporation set the board’s membership and responsibilities. They also set the officer positions and how officers are elected.
(a) Board of directors.—The corporation’s articles of incorporation provide who serves on the board of directors and what responsibilities the board has. (b) Officers.—The articles of incorporation provide the corporation’s officer positions and how the officers are elected.
The composition of the board of directors of the corporation, and the responsibilities of the board, are as provided in the articles of incorporation of the corporation.
The positions of officers of the corporation, and the election of the officers, are as provided in the articles of incorporation.
