This section sets who governs the corporation. The board of directors and its duties come from the corporation's articles of incorporation. The same is true for the corporation's officers and how they are elected.
(a) Board of Directors.— The corporation's board of directors, and what the board is responsible for, are set out in the articles of incorporation.
(b) Officers.— The corporation's officers, and how they are elected, are also set out in the articles of incorporation.
The board of directors and the responsibilities of the board are as provided in the articles of incorporation.
The officers and the election of officers are as provided in the articles of incorporation.
