This section sets up the corporation's governing structure. The board of directors runs general policy and controls all funds between meetings, with at least 36 directors. Officers include a president, vice presidents, a secretary, and a treasurer, as the bylaws set out.
(a) Board of Directors.— (1) The board of directors governs the corporation. Between meetings, the board handles general policy and the corporation's program, and controls all its funds. (2) How many directors there are, how they're chosen, and how vacancies get filled are set by the corporation's constitution and bylaws, except the board must have at least 36 directors.
(b) Officers.— (1) The corporation's officers are a president, one or more vice presidents as the bylaws set, a secretary, and a treasurer. (2) How officers are elected, their term length, and their duties are set by the constitution and bylaws.
The board of directors is the governing body of the corporation. Between meetings of the corporation, the board is responsible for the general policies and program of the corporation. The board is responsible for the control of all funds of the corporation.
The number of directors, their manner of selection (including the filling of vacancies), and their term of office are as provided in the constitution and bylaws of the corporation. However, the board shall have at least 36 directors.
The officers of the corporation are a president, one or more vice presidents as provided in the constitution and bylaws, a secretary, and a treasurer.
The manner of election, term of office, and duties of the officers are as provided in the constitution and bylaws.
