The corporation is legally responsible for what its officers and agents do. This only applies when they are acting within the authority they've been given.
This section makes the corporation liable for the acts of its own officers and agents. That liability only applies when the officer or agent is acting within the scope of the authority the corporation gave them.
The corporation shall be liable for the acts of the officers and agents of the corporation acting within the scope of their authority.
