36 U.S.C. § 151904 — Governing body

(a) Board of Directors.—(1) The board of directors governs the corporation. Between meetings of the corporation’s members, it is responsible for the corporation’s general policies and program and for controlling all corporation funds. (2) The constitution and bylaws provide the number of directors, how they are selected, how vacancies are filled, and their terms. However: (A) the corporation must have at least 15 and no more than 25 directors; and (B) at least 4 directors must be members of the medical profession. (b) Officers.—(1) The officers are a board chair, a president, one or more vice presidents as provided in the constitution and bylaws, a secretary, a treasurer, and one or more assistant secretaries and assistant treasurers as provided there. (2) The constitution and bylaws provide how officers are elected, their terms, and their duties.
