(a) Board of Directors.—The board governs the corporation, sets its general policies and program, and controls its funds. Its governing documents set the number, selection, vacancies, and terms of directors, within a range of 10 to 25. (b) Officers.—The corporation must have the listed officers, with their election, terms, and duties set by its constitution and bylaws.
(a) Board of Directors.—
(1) The board of directors governs the corporation. It is responsible for the corporation's general policies and program and controls all its funds.
(2) The constitution and bylaws determine the number of directors, how they are selected, including how vacancies are filled, and how long they serve. The board must have at least 10 and no more than 25 directors.
(b) Officers.—
(1) The officers are a president, one or more vice presidents as provided in the constitution and bylaws, a secretary, a treasurer, and any other officers provided there.
(2) The constitution and bylaws determine how officers are elected, how long they serve, and their duties.
The board of directors is the governing body of the corporation. The board is responsible for the general policies and program of the corporation and the control of all funds of the corporation.
The number of directors, their manner of selection (including the filling of vacancies), and their term of office are as provided in the constitution and bylaws. However, the board shall have at least 10 but not more than 25 directors.
The officers of the corporation are a president, one or more vice presidents as provided in the constitution and bylaws, a secretary, a treasurer, and other officers as provided in the constitution and bylaws.
The manner of election, term of office, and duties of the officers are as provided in the constitution and bylaws.
