36 U.S.C. § 60105 — Governing body

(a) Board of Directors. This section does not create its own rules for the corporation's board of directors. Instead, it points to the corporation's articles of incorporation — the founding document that sets up the corporation — for two things: who is on the board, and what the board is responsible for doing. (b) Officers. The same is true for officers. The articles of incorporation say who the corporation's officers are and how the corporation elects them. This section does not add separate election rules. (c) Nondiscrimination. This subsection sets one direct rule: the corporation cannot use race, color, religion, sex, disability, or national origin as a reason to keep someone from holding office. Anyone who meets the requirements set out in the articles of incorporation must be allowed to hold office regardless of these characteristics.
